These Terms of Service (“Terms”) govern your access to and use of the Clipped website, applications and services (together, the “Service”), operated by Clipped (“Clipped”, “we”, “us” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Connected platforms

The Service lets you connect third-party accounts, such as Twitch, YouTube, TikTok and Kick, to read stream data and publish content on your behalf. By connecting an account you authorize us to access and act on that account within the permissions you grant. Your use of those platforms remains subject to their own terms and policies, including the YouTube Terms of Service. You can revoke our access at any time from the Service or from the third-party platform's settings.

4. Your content

You retain all rights to content you create, upload or publish through the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transcode, store, display and transmit Your Content solely to operate, provide and improve the Service. You are solely responsible for Your Content and for ensuring you have all rights necessary to clip, edit and publish it, including any rights held by streamers, rights holders or other third parties.

5. Acceptable use

You agree not to:

• use the Service to infringe or misappropriate anyone's intellectual property, privacy or other rights;
• publish content that is unlawful, harassing, hateful, defamatory, deceptive or sexually explicit;
• violate the terms, policies or community guidelines of any connected platform;
• attempt to gain unauthorized access to, interfere with, or disrupt the Service or its infrastructure;
• reverse engineer, scrape, resell or create derivative services from the Service except as permitted by law; or
• use the Service for any illegal purpose.

6. Automated features

The Service uses automated analysis, including machine-learning models, to transcribe audio, assess sentiment, suggest clips, and generate titles, captions and descriptions. These outputs may be inaccurate or incomplete. You are responsible for reviewing anything published from your account, including content published automatically under settings you enable.

7. Fees

Some features may be offered for a fee. Where fees apply, they will be shown to you before you are charged. Except where required by law, fees are non-refundable. We may change our pricing with reasonable notice.

8. Our intellectual property

The Service, including its software, design, text and trademarks, is owned by Clipped and its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you.

9. Feedback

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

10. Third-party services

The Service may link to or integrate with services we do not control. We are not responsible for third-party services, their content, or their availability, and your use of them is at your own risk.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service, our users or others. Sections that by their nature should survive termination will survive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY CONTENT WILL BE PRESERVED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPPED AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $100.

14. Indemnification

You agree to defend, indemnify and hold harmless Clipped from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any third party's rights.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms on this page and updating the date above. Continued use of the Service after changes take effect means you accept the updated Terms.

16. General

These Terms are governed by the laws of the jurisdiction in which Clipped is established, without regard to conflict-of-law rules. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of it. These Terms are the entire agreement between you and us regarding the Service, and you may not assign them without our consent.
